1. Terms

AUTOBID / Platform / Service — an internet service providing digital infrastructure for creating vehicle listings, publishing Lots, conducting auctions, and subsequently introducing the Seller to the Final Leader. Operator — the person specified in this Offer who provides the Service. User — an individual, individual entrepreneur, or legal entity using AUTOBID. Seller — a User who lists a vehicle. Participant — a User admitted to bidding on a specific Lot. Lot — a vehicle listing published after moderation with fixed auction terms. Bid — a Participant’s price offer accepted by the AUTOBID server in accordance with this Offer and the fixed Lot Terms. Final Leader — the Participant with the best valid bid when the auction concludes successfully. Listing Ticket — a digital right to submit one Lot for moderation and publish it for the first time in accordance with this Offer. Participation Ticket — a digital right for one User to begin bidding on one specific Lot. Lot Terms — the variable parameters of a specific auction fixed by the server, including the schedule, price, minimum increment, reserve price, and extension parameters. Scheduled End Time — the originally established time at which the auction is to end. Actual End Time — the current time at which the auction ends, taking into account applied extensions and other schedule changes permitted by this Offer.

2. Status and composition of the agreement

This Offer is an invitation to enter into an electronic agreement for the use of AUTOBID and, when the User purchases tickets, for the provision of the relevant paid digital service. The agreement between the Operator and the User consists of: 1. this Offer; 2. the fixed Terms of the specific Lot; 3. the fixed commercial terms of the selected ticket package and order; 4. other special terms expressly accepted by the User. The Privacy Policy informs the User about the processing of personal data and applies to the relevant extent regardless of whether its provisions are incorporated into the agreement. Mandatory provisions of applicable law prevail over contractual terms. The Lot Terms determine only the variable parameters of a specific auction and do not cancel this Offer. In this AUTOBID model, a separate mandatory document called the “Auction Rules” is not used: the mandatory auction mechanics are included directly in Section 18 of this Offer. The “How the auction works” page is explanatory and does not change the binding terms.

3. Acceptance and conclusion of the electronic agreement

Upon registration, the User accepts this Offer and confirms that they have read the Privacy Policy by taking separate, clearly designated actions in the AUTOBID interface. Registration is impossible without the mandatory confirmations. When purchasing tickets, the User checks the package contents, price, currency, terms of use and refund, and then takes an action that clearly indicates an obligation to pay. When submitting a Lot, the Seller separately confirms the disclosure of their contact details to the future Final Leader. Before placing the first bid, the Participant separately confirms the disclosure of their contact details to the Seller if they become the Final Leader. Consent to marketing messages is not a condition of registration, ticket purchase, Lot listing, or participation in an auction. If the User does not agree with the Offer or the terms of the relevant function, they must not register or take such action.

4. Who may use commercial functions

Commercial functions are intended for legally capable adults and other persons whom applicable law permits to independently take the relevant actions. A User acting on behalf of a legal entity or another person confirms that they have the necessary authority. AUTOBID may require confirmation of an email address, telephone number, identity, authority, or other information when necessary for security, payment, moderation, fraud prevention, or compliance with the law.

5. User account

The User must: • provide accurate and up-to-date information; • keep their email address and telephone number operational; • protect their password, verification codes, and devices; • not transfer the account to unauthorized persons; • promptly report suspected compromise; • use the Service lawfully and in good faith. It is prohibited to create linked accounts to circumvent restrictions, impersonate another person, use another person’s documents without a lawful basis, or interfere with the operation of the Service. Actions taken from an authorized account are treated as actions of its owner until the Operator receives reliable notice of compromise or establishes otherwise.

6. What AUTOBID provides

Depending on the active functions, the Service may provide: • registration and account management; • private vehicle listings; • uploading and processing photographs and images of documents; • moderation and publication of Lots; • competitive online auctions; • a server log of bids and results; • Listing and Participation Tickets; • payments for its own digital services; • service notifications; • automatic disclosure of the Seller’s and Final Leader’s contact details; • support and appeals. AUTOBID provides digital infrastructure and does not guarantee that every created Lot will be approved, that bids will be placed in an auction, or that the parties will enter into an agreement after the Final Leader is determined.

7. AUTOBID’s role with respect to the vehicle

AUTOBID: • is not the owner, seller, or buyer of the vehicle; • does not become a party to a sale and purchase agreement between Users; • does not act as an agent, commission agent, or representative of a party unless a separate service expressly provides otherwise; • does not accept the price or deposit for the vehicle; • does not provide escrow, credit, insurance, delivery, or state registration unless a separate service expressly described as such has been launched; • does not guarantee the conclusion or performance of a transaction between Users. Payment for the vehicle itself, its transfer, and its registration take place outside AUTOBID directly between the Seller and the Final Leader.

8. Seller’s obligations

The Seller must disclose the material characteristics, defects, and restrictions of the vehicle known to them. The Seller confirms that: • they have the right to offer the vehicle or act with proper authority; • the information provided is accurate to the extent known to them; • photographs, images of documents, and descriptions are used lawfully; • the materials provided do not infringe third-party rights; • they do not conceal known circumstances that could materially affect a Participant’s decision. The Seller may simultaneously offer the vehicle through other platforms and by other lawful means. If, before the result is formed on AUTOBID, the vehicle has been sold or transferred to another person, lost, materially damaged, or for another reason is no longer offered for sale, the Seller must cancel the Lot without undue delay in accordance with Section 18 of this Offer. In such a cancellation, used Participation Tickets are restored to the Participants, while the Listing Ticket is not returned to the Seller after the first publication. A Lot cancellation must not be used to artificially determine the market price, manipulate bids, or systematically disrupt auctions. Repeated unjustified cancellations may be regarded as abuse of the Service and result in a proportionate restriction of account functions. Internal technical checks and moderation help identify errors or inconsistencies in the submitted materials but do not confirm the accuracy of the information and do not release the Seller from liability for the information provided.

9. Verification and moderation

AUTOBID may conduct automated and manual checks of the completeness, format, and internal consistency of listing data, and may moderate photographs, images of documents, and account behavior. Verification is auxiliary in nature. The Operator does not guarantee: • the Seller’s ownership rights; • the absence of liens, arrest, wanted status, or other restrictions; • the accuracy of the mileage; • the accident or repair history; • the technical condition; • that photographs correspond to the actual condition; • the solvency or good faith of the other party. AUTOBID may approve a Lot, request corrections, reject it, restrict its publication, or block individual functions where grounds provided for by this Offer exist.

10. Tickets as a digital service

A Ticket grants a limited digital right to use a specified AUTOBID function. A Ticket is not: • money or electronic money; • a deposit or security payment; • a security or investment; • an interest in property; • part of the vehicle price; • a guarantee of publication, victory, or conclusion of a transaction. AUTOBID uses two independent types of Tickets: Listing Tickets and Participation Tickets. The balance, reservation, use, restoration, and monetary refund of each Ticket are recorded by the server.

11. Ticket packages, price, and order

Tickets may be purchased in packages. Before proceeding to payment, the User is shown: • the type of Tickets; • the package name and contents; • the quantity; • the package price; • the currency; • taxes and mandatory fees, if applicable, and an indication of whether they are included in the total amount; • the total amount; • the payment provider; • the monetary refund period for unused Tickets, if limited; • other material commercial terms. The commercial terms of an order are fixed when it is created and are not changed retroactively when the package catalogue is subsequently changed. If the period of use for purchased Tickets is not expressly stated before payment, they do not expire solely due to the passage of time. The sales period of the package itself is not the validity period of already purchased Tickets.

12. Payment for Tickets

Payment is processed by the payment provider identified before proceeding to payment. As a general rule, AUTOBID does not receive or store the full bank card number, CVV/CVC, PIN, or other secret payment instrument credentials. After the payment is confirmed by the provider, AUTOBID: • changes the order status; • credits the specified number of Tickets; • stores the transaction identifier and material parameters; • provides electronic confirmation in the account or by another designated method. If the payment result is not unambiguously confirmed, the order may be sent for review. A repeat payment must not be made automatically until the result of the previous attempt is established. The time required to credit or refund money may depend on the payment provider, bank, and payment system.

13. Listing Ticket

When a Lot is first submitted for moderation, one Listing Ticket is reserved. During corrections, resubmission, or an appeal, the same Ticket remains linked to that Lot. A new Ticket is not required. Upon the first successful publication, the reserved Ticket is finally used. If the Seller cancels the Lot before its first publication, the reservation is released and the Ticket is returned to the available balance. If the Seller cancels an already published Lot, the used Listing Ticket is not returned. If AUTOBID cancels a published auction for a reason unrelated to the Seller’s violation, the Listing Ticket is restored. If the cancellation resulted from a material violation by the Seller, the Listing Ticket may not be restored.

14. Participation Ticket

One Participation Ticket is deducted after the User’s first bid in a specific Lot is accepted by the server. A rejected bid does not use a Ticket. Subsequent bids by the same User in that Lot do not require another Ticket. Upon ordinary completion, the Ticket is not returned regardless of victory, being outbid, or whether the reserve price was reached. If the auction is cancelled before a result, Participation Tickets are restored to Participants whose actions were not the cause of the cancellation. The Ticket of a Participant whose material violation caused the cancellation may not be restored.

15. Ticket restoration and monetary refund

Ticket restoration and a monetary refund are different operations. Ticket restoration returns the digital right to the balance due to a Lot-related event, such as auction cancellation. It does not mean a refund of the money paid for the package. A monetary refund returns part or all of the payment for a specific order and simultaneously removes from the balance the corresponding number of unused Tickets from that order. Technical restoration of a Ticket does not create a double balance and does not entitle the User to retain the Ticket and receive money for it at the same time.

16. Monetary refund for unused Tickets

The User may create a request for a refund of one or more Tickets from a specific paid package if all of the following conditions are met: • the refund period specified for the order has not expired, or the period was not limited; • the Tickets remain available and have not been used; • the Tickets are not reserved for a Lot; • the Tickets are not held under another open refund request; • the origin of the Tickets from the paid order can be confirmed; • there is no other pending refund for the order. While the request is being reviewed, the selected Tickets are held and cannot be used. The amount of a partial refund is calculated proportionally to the unchanged total package price. If the User makes several partial refunds, their total amount may not exceed the original payment for the package. Upon a successful refund, the relevant Tickets are removed from the available balance. If the request is rejected, technically unsuccessful, or permissibly cancelled, the hold is released. Where possible, the refund is made using the same payment method. If the provider does not support an automatic refund, AUTOBID may request the necessary details and make a manual payment without requiring the User to disclose a password, CVV/CVC, or other secret code.

17. Mandatory consumer rights

This Offer does not restrict the User’s rights to withdraw from a distance contract, bring a digital service into conformity, obtain a proportionate price reduction, receive a refund, or use another mandatory legal remedy if such right is provided by applicable law. If the law links the immediate commencement of a digital service to separate consent and confirmation of possible loss of the right of withdrawal, AUTOBID obtains that confirmation separately before the relevant service begins. An Offer term that worsens mandatory consumer rights compared with the law does not apply to the relevant extent.

18. Conduct of auctions

This section establishes the mandatory mechanics of AUTOBID auctions. The variable parameters of a specific auction are determined by the fixed Lot Terms.

18.1. Publication and Lot Terms

Upon the first successful publication, AUTOBID creates a server snapshot of the permitted data and auction terms. The Lot displays, to the extent provided by the interface: • the start date and time; • the Scheduled and Actual End Times; • the starting and current price; • the minimum increment; • the parameters for automatic extension of the final minutes; • information about the reserve price to the extent provided; • the auction status; • the availability of early acceptance of the best bid. The hidden reserve price is not published. The User must check the displayed parameters before placing the first bid. The Terms of a Lot that has already started are not changed retroactively, except for AUTOBID’s necessary intervention under Clause 18.11.

18.2. Admission to participation

A Participant must have an active account, a sufficient balance of Participation Tickets, and completed contact details required for the disclosure provided for by this Offer. Before placing the first bid in a specific Lot, the Participant separately confirms the disclosure to the Seller of their name, email, and telephone number if they become the Final Leader.

18.3. Source of truth and bid acceptance

The source of truth is the data on the AUTOBID server, not the clock, screen, or network status of the User’s device. Before accepting a bid, the server checks, among other things: • whether the Lot is active; • whether the start time has arrived; • whether the Actual End Time has expired; • whether the User is entitled to participate; • whether the User is not the Seller; • whether the amount meets the minimum permissible bid; • whether the required confirmations have been completed; • whether a Ticket is available for the first participation. A bid is considered placed only after the server expressly confirms its acceptance. Pressing a button or sending a request alone does not mean acceptance. If bids arrive practically simultaneously, priority is given to the bid recorded earlier by the server. A bid received after the Actual End Time is rejected.

18.4. Delay before submission and bid cancellation

If a submission delay is enabled for bids, the interface displays a countdown. During this period, the User may cancel the action, and the bid will not reach the server. After confirmation by the server, an accepted bid cannot be separately cancelled by the User, support employee, or Seller. In the event of a confirmed technical error, the User must promptly contact support. If the error could have affected the fairness of the result, AUTOBID may intervene in the auction as a whole in accordance with Clause 18.11.

18.5. Minimum bid and increment

The server calculates the minimum permissible amount based on the starting or current price and the increment fixed for the Lot. A bid below the calculated minimum is rejected. If the increment depends on the price range, the server applies the current range and displays the minimum permissible amount before the bid is submitted.

18.6. Final-minute extensions — anti-sniping

Automatic extension of the final minutes may be enabled for a Lot. If a valid bid is accepted within the established interval before the end, the Actual End Time is moved forward by the specified duration. A new bid in the next corresponding interval may trigger another extension. The interval, duration, and maximum number of extensions are determined by the Lot Terms. After each extension, the time updated by the server is the Actual End Time.

18.7. Reserve price

The Seller may set a minimum price for a successful result—the reserve price. It may be hidden from Participants. If the reserve is reached at the Actual End Time, the result is determined by the best accepted bid. If the reserve is not reached, the auction ends without a successful result, no Final Leader is determined, and contacts are not disclosed automatically, except in the case of early acceptance of the best bid under Clause 18.8.

18.8. Early acceptance of the best bid

If the relevant function is available for a specific Lot, the Seller may, using the designated action, accept the current best valid bid before the Scheduled End Time. After server confirmation: • new bids are no longer accepted; • the current best bid is fixed; • its author becomes the Final Leader; • the result is formed; • the parties’ contacts are disclosed in accordance with Section 20.

18.9. Ordinary completion of the auction

At the Actual End Time, the server stops accepting new bids and records the result. A successful result is formed if there is a valid bid and the reserve price condition has been met. The author of the best accepted bid becomes the Final Leader. If there are no bids, the auction ends without bids. If the reserve has not been reached, the auction ends without a successful result.

18.10. Suspension and cancellation by the Seller

Before the first accepted bid appears, the Seller may suspend an active or scheduled Lot if this function is available for its status. Suspension does not change the original schedule. The Lot may be resumed only before its Actual End Time expires. Before the result is formed, the Seller may cancel a published Lot, including if the vehicle has been sold through another platform or by another means, transferred to another person, lost, materially damaged, or for another reason is no longer offered for sale. After such circumstance arises, the Seller must cancel the Lot without undue delay. When a published Lot is cancelled by the Seller: • the Lot is removed from the auction; • used Participation Tickets are returned to all Participants; • the used Listing Ticket is not returned to the Seller. If the Seller cancels the Lot before its first publication, the Listing Ticket reservation is released. A Lot cancellation must not be used to artificially determine the market price, manipulate bids, or systematically disrupt auctions. Repeated unjustified cancellations may be regarded as abuse of the Service and result in a proportionate restriction of account functions.

18.11. AUTOBID intervention

AUTOBID may suspend, postpone, restore, close, restart, or cancel an auction if necessary due to: • a material technical failure; • a security breach; • an error in server time or bid processing; • fraud or collusion; • account compromise; • an unlawful Lot; • a request from a competent authority; • another reason in which preserving the course or result would be manifestly unfair or unlawful. When a published auction is cancelled, Tickets are restored to Users whose actions were not the cause of the cancellation. The Ticket of a User whose material violation caused the cancellation may not be restored. If the cancellation resulted from a material violation by the Seller, their Listing Ticket may also not be restored. Upon restoration or postponement, AUTOBID publishes the updated schedule.

18.12. Prohibited actions in auctions

The Seller is prohibited from directly or indirectly bidding on their own Lot. The following are also prohibited: • fictitious bids and shill bidding; • collusion between Users; • artificial price inflation; • use of a second or linked account; • transferring an account to circumvent restrictions; • automated actions bypassing the permitted interface; • interference with the operation of the Platform; • other actions distorting the course or result of the auction. AUTOBID may cancel invalid actions, restrict an account, stop or cancel a Lot, and apply other proportionate measures.

18.13. Server log and investigation

When considering a question concerning a bid, time, extension, technical incident, cancellation, or result, AUTOBID uses the server log and administrative audit to establish the sequence of events. The User may submit an appeal through the “Support and Appeals” section.

19. Meaning of a bid and result

A bid confirms the Participant’s serious intention to continue negotiations at the specified price level but is not, by itself, a vehicle sale and purchase agreement. The determination of the Final Leader: • does not transfer ownership; • does not mean an automatic purchase or sale; • does not charge the Final Leader for the vehicle; • does not create an obligation for AUTOBID to accept the vehicle price; • does not replace a separate agreement between the Seller and the Final Leader. Unless the parties separately agree otherwise outside AUTOBID, the auction result by itself does not create an unconditional obligation for the Seller to sell or for the Final Leader to buy the vehicle. Fictitious participation, bid manipulation, systematic unjustified refusal after winning, or intentional disruption of an auction may be regarded as abuse of the Service.

20. Disclosure of contacts

Before submitting a Lot, the Seller separately confirms the disclosure of their name, email, and telephone number to the future Final Leader. Before placing the first bid, the Participant separately confirms the disclosure of their name, email, and telephone number to the Seller if they become the Final Leader. Upon a successful result, AUTOBID automatically discloses contact details only to this pair. The contacts do not become publicly available. The party receiving the contacts must use them in good faith to communicate regarding the relevant potential transaction. Publication, sale, unlawful mailing, harassment, and fraudulent use of contacts are prohibited.

21. Parties’ actions after the auction

After the contacts are disclosed, the parties independently: • contact each other; • verify identities and authority; • inspect the vehicle; • compare original documents; • verify ownership rights and restrictions; • agree on the final price and payment method; • conclude an agreement; • complete payment, transfer, registration, taxation, and delivery. AUTOBID is not responsible for a party’s decision to conclude or not conclude an agreement and does not guarantee performance of an agreement concluded between Users.

22. User content

The User retains the rights belonging to them in photographs, images of documents, descriptions, and other materials provided. For the period necessary to operate the Service and comply with the law, the User grants the Operator a non-exclusive right to: • store and copy the materials; • check them for security; • resize and change their technical format; • create public versions of permitted photographs; • moderate and hide prohibited content; • display permitted materials in a Lot; • retain evidence necessary for transactions and violations. The User confirms that they have the rights and lawful grounds to transfer the materials and the personal data of third parties.

23. Prohibited use

AUTOBID must not be used for: • fraud; • listing a stolen or unlawfully offered vehicle; • forged documents; • manipulation of mileage or vehicle history; • fictitious bids, collusion, and shill bidding; • malicious files or code; • infringement of third-party rights; • circumventing account restrictions; • collecting contacts for spam; • systematic unjustified cancellation of Lots for the purpose of simulating auctions, artificially determining the market price, manipulating bids, or disrupting auctions; • automated intervention outside the permitted interface; • other unlawful actions. AUTOBID may delete or hide material, stop a Lot, restrict a function, revoke sessions, block an account, and retain necessary evidence of a violation. Unless prohibited by law or creating a threat to an investigation or security, the User is informed of the reason for the restriction and the available method of appeal.

24. Availability and technical events

AUTOBID strives to ensure stable operation but does not guarantee absolute continuity. Interruptions may occur due to maintenance, updates, emergencies, vulnerability remediation, actions of infrastructure providers, attacks, or force majeure circumstances. If a technical event could have affected the fairness of an auction, AUTOBID applies the measures provided for in Section 18: suspension, postponement, extension, restart, or cancellation.

25. Notifications

AUTOBID may send mandatory service notifications related to: • account security; • contact confirmation; • moderation; • the course and result of auctions; • bids; • Tickets; • payments and refunds; • support; • changes to material terms. Delivery channels may include the account interface, email, and other connected methods. Failure to deliver an additional notification does not change the server status of a Lot, bid, order, or account unless the law or expressly accepted terms provide otherwise. Marketing messages are sent only on a separate applicable legal basis and may be disabled independently of service notifications.

26. Personal data

The processing of personal data is described in the current AUTOBID Privacy Policy. Providing data objectively necessary for registration, security, payment, a Lot, a bid, or disclosure of contacts is a condition of the relevant function. Optional types of processing require a separate legal basis. Withdrawal of consent does not affect the lawfulness of processing carried out before withdrawal and does not terminate processing for which another lawful basis exists.

27. Liability

The Operator is liable for its own digital service within the limits established by applicable law. AUTOBID does not guarantee: • the accuracy of information provided by another User that the Operator objectively could not verify; • the technical or legal condition of the vehicle; • the solvency and good faith of the other party; • attendance at an inspection; • conclusion of an agreement after the auction; • payment, transfer, or registration of the vehicle; • the User achieving the expected economic result. The User is responsible for violating the law, this Offer, the Lot Terms, or third-party rights, and for the accuracy of the information they provide. Nothing in this Offer excludes liability where such exclusion is prohibited by law.

28. Term of the agreement and account closure

The agreement is effective from acceptance until account closure and full performance of continuing obligations. The User may request account closure through the designated interface or support. Closure may be postponed for the period necessary to: • complete active auctions; • establish the result of a payment or refund; • process an appeal or dispute; • comply with retention requirements for financial and audit records; • prevent fraud; • comply with a requirement of a government authority or court. Account closure does not cancel rights and obligations that have already arisen and does not require the immediate deletion of records that the Operator is obliged or entitled to retain. Unused paid Tickets upon termination of the relevant function or Service are handled in accordance with applicable law and the terms of their purchase.

29. Changes to the Offer and Auction Terms

Changes to the Offer are published on this page with a new date. If a change requires separate notice or a new confirmation under applicable law, AUTOBID fulfills that requirement before applying the change. The new version does not apply retroactively in a manner that deprives the User of mandatory rights that have already arisen. The Terms of a Lot that has started are preserved in its server snapshot, except for AUTOBID’s necessary intervention under Clause 18.11.

30. Support, appeals, and disputes

Appeals are submitted through the “Support and Appeals” section or using the Operator’s contact details. The appeal should preferably include: • the account email or identifier; • the Lot, order, payment, or refund number; • a description of the situation; • materials relevant to the matter. AUTOBID and the User will, where possible, attempt to resolve the matter through support. If the dispute is not resolved, the User may apply to a court, a competent consumer protection authority, the Ukrainian Parliament Commissioner for Human Rights, or use another remedy provided by law. In the test model, the law of Ukraine applies to the agreement. Mandatory rules on consumer protection, personal data, and competent jurisdiction remain in force regardless of this provision. A dispute between the Seller and the Final Leader concerning the vehicle, its condition, price, payment, transfer, or an agreement concluded between them does not become a dispute with AUTOBID merely because the parties were introduced through the Platform.
